1. Acceptance of Terms

By accessing and using Valhalla Digitals's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use our services.

These Terms and Conditions apply to all visitors, users, and others who access or use our services, including but not limited to:

• Website development services
• E-commerce infrastructure solutions
• Corporate branding services
• IT consulting and support
• Custom software development

2. Services

Valhalla Digitals provides professional IT services including but not limited to web development, e-commerce solutions, branding, and corporate services. The specific scope of services will be outlined in individual project agreements or statements of work.

Service Delivery: We strive to deliver all services according to agreed timelines. However, delivery schedules may be subject to change based on project complexity and client responsiveness.

Quality Standards: All services are provided in accordance with industry best practices and professional standards applicable to the IT services industry.

3. Client Obligations

Clients are responsible for:

• Providing accurate and complete information necessary for project completion
• Timely review and approval of deliverables
• Payment of fees according to agreed terms
• Maintaining the security of their account credentials
• Complying with all applicable laws and regulations
• Providing necessary materials, content, and resources in a timely manner

4. Payment Terms

Pricing: All prices are quoted in USD unless otherwise specified. Prices are subject to change with prior notice.

Payment Schedule: Payment terms will be specified in individual project agreements. Typically, we require:

• 50% deposit before project commencement
• Remaining 50% upon project completion and approval

Late Payments: Late payments may incur a fee of 2% per month or the maximum allowed by law. Valhalla Digitals reserves the right to suspend services for accounts with overdue payments.

Refunds: Refund policies will be outlined in individual project agreements. Generally, deposits are non-refundable once work has commenced.

5. Intellectual Property Rights

Client Content: Clients retain all rights to content, materials, and information they provide to Valhalla Digitals.

Deliverables: Upon full payment, clients receive ownership rights to the final deliverables as specified in the project agreement. This includes custom code, designs, and materials created specifically for the client.

Valhalla Digitals Property: Valhalla Digitals retains ownership of:

• Pre-existing tools, frameworks, and code libraries
• General methodologies and processes
• Templates and reusable components

Portfolio Rights: Valhalla Digitals reserves the right to showcase completed projects in our portfolio unless explicitly agreed otherwise in writing.

6. Confidentiality

Valhalla Digitals commits to maintaining the confidentiality of all client information. We will not disclose, share, or use client information for purposes other than providing the agreed services, except:

• With client's explicit consent
• When required by law
• To trusted third-party service providers under confidentiality agreements

This confidentiality obligation survives the termination of our services.

7. Warranties and Disclaimers

Service Warranty: Valhalla Digitals warrants that services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer: Except as expressly stated, all services are provided "as is" without warranties of any kind, either express or implied, including but not limited to:

• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

Bug Fixes: We provide a warranty period (typically 30-90 days as specified in project agreements) for bug fixes and corrections to deliverables.

8. Limitation of Liability

To the maximum extent permitted by law, Valhalla Digitals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data
• Business interruption
• Loss of business opportunities

Our total liability for any claims arising from services provided shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Termination

By Client: Clients may terminate services by providing written notice. Clients remain responsible for payment of all work completed up to the termination date.

By Valhalla Digitals: We reserve the right to terminate services if:

• Client breaches these terms
• Payment obligations are not met
• Client engages in abusive or inappropriate behavior
• Services are being used for illegal purposes

Effect of Termination: Upon termination, client access to services will cease, and all outstanding payments become immediately due.

10. Changes to Terms

Valhalla Digitals reserves the right to modify these Terms and Conditions at any time. We will notify clients of significant changes via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.

For existing projects, changes to terms will not affect agreements already in place unless mutually agreed upon in writing.

11. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

Jurisdiction: Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Cebu City, Philippines.

Dispute Resolution: In the event of a dispute, parties agree to first attempt resolution through good faith negotiation. If negotiation fails, parties may pursue mediation before resorting to litigation.
